1. Acceptance of Terms
By accessing or using Beni AI or Beni Studio (together, the “service”), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.
2. Eligibility (18+)
The service is intended only for users 18 years of age or older. By using the service, you represent and warrant that you are at least 18.
3. Accounts
You may create an account using email verification and/or supported third-party login (such as Google sign-in). You are responsible for all activity under your account.
4. Important Disclaimers
A) No Professional Advice — Beni AI is an AI companion experience provided for entertainment and general information. It does not provide medical, mental health, legal, or financial advice. Outputs may be inaccurate or inappropriate. B) Crisis and Emergency Situations — If you are in crisis or considering self-harm, stop using the service and seek immediate help from local emergency services or a crisis hotline in your country. C) Dependency and User Control — We implement safeguards to reduce harmful dependency or coercive behaviors, but we cannot control every interaction or guarantee outcomes. You are responsible for your use of the service.
5. Plans, Credits, and Billing
If you have questions regarding billing, please contact us at hello@thebeni.ai. A) Plans — We offer a Free plan and paid subscription plans (currently Plus and Creator). Current pricing, credit allowances, and plan features are displayed in-product and on our pricing page, which may be updated from time to time. B) Credits — The service uses a credit system. Credits are consumed by usage, including chat conversations and custom character generation in Beni Studio. Credit costs for each action are displayed in-product before you confirm the action. Free plan: New accounts receive a one-time signup credit bonus and a daily credit allowance, as displayed in-product. The one-time signup bonus is granted once per account, ever, including after any plan changes. Subscription credits: Subscribers receive a monthly credit allowance. Monthly subscription credits reset at the start of each billing cycle and unused monthly credits do not roll over. Credit packs: Additional credit packs are available for purchase only by users with an active paid subscription. Credits have no cash value, are non-transferable, and cannot be redeemed or exchanged for money except where required by applicable law.
6. Refunds
All sales are final and non-refundable except where required by applicable law or under our limited Refund Policy exceptions. Once credits are deducted, purchases are not refundable. The Refund Policy is available on our website: https://bit.ly/Beni_AI_Refund_policy
7. User Content and Uploaded Images
A) Definition — “User Content” includes text you provide, speech-to-text transcriptions generated from your voice input, and images you upload to Beni Studio to create custom characters. B) Your Responsibility for Uploaded Images — You are solely responsible for the images you upload and for ensuring you have the legal right to use them. By uploading an image, you represent and warrant that: You own the image or have obtained all rights, licenses, consents, and permissions necessary to upload it and to have it processed into an animated, voiced AI character; If the image depicts a real, identifiable person other than yourself, you have that person’s consent to use their likeness for this purpose; Your upload and the resulting character do not infringe any third party’s copyright, trademark, right of publicity, privacy rights, or other rights, and do not violate any applicable law. We do not review, verify, or approve uploaded images, and we assume no responsibility or liability for User Content. As between you and us, all responsibility for the lawfulness of uploaded images and the characters generated from them rests with you. C) License to Us — You retain ownership of your User Content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, and modify User Content solely to operate, provide, and secure the service (including generating your custom characters), comply with law, and enforce these Terms. We do not use your uploaded images, conversations, or generated characters to train AI models.
8. Custom Characters and Outputs
A) Ownership — As between you and us, you own the custom characters you create in Beni Studio (including the generated image and video assets), to the extent of our rights in them and subject to the license in Section 7(C) and any third-party rights in the underlying source image. We make no representation that generated characters or outputs are free of third-party rights — that depends on the image you uploaded. B) Private Use — Custom characters are private to your account and are not visible to or shared with other users. C) AI Outputs “As Is” — Outputs (including generated characters, video, voice, and conversation content) are provided “as is.” Similar or identical outputs may be generated for other users. You are responsible for how you use outputs and must not use outputs to infringe third-party rights or violate the law.
9. Prohibited Conduct
You agree not to: Use the service for illegal activities or to violate any laws. Upload images of, or depicting, any person under 18, or any content that sexualizes minors. Upload images you do not have the right to use, including copyrighted artwork, photographs, or characters without authorization. Use any person’s likeness to impersonate, defame, harass, intimidate, deceive, or defraud, or to create content suggesting a real person said or did something they did not. Generate, request, or distribute pornographic, obscene, or sexually explicit content, including sexual content depicting any real, identifiable person. Harass, threaten, or abuse others. Invade others’ privacy, including recording or surveilling individuals without their knowledge or consent. Circumvent safeguards, security, or access controls; scrape or reverse engineer the service. Introduce malware or disrupt the service. We may remove content, refuse to generate characters, and restrict or terminate accounts for violations, with or without notice.
10. Copyright Complaints (DMCA)
We respect intellectual property rights and respond to notices submitted under the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on the service infringes your copyright, send a notification to our Designated Copyright Agent at hello@thebeni.ai (subject line: “DMCA Notice”) including: (1) identification of the copyrighted work; (2) identification of the allegedly infringing material; (3) your contact information; (4) a statement of good-faith belief that the use is unauthorized; (5) a statement, under penalty of perjury, that the information is accurate and you are authorized to act for the copyright owner; and (6) your physical or electronic signature. We may remove or disable access to allegedly infringing material and may terminate accounts of repeat infringers.
11. Feedback
If you provide feedback, you grant us the right to use it without restriction or compensation.
12. Monitoring and Enforcement
We may monitor usage to prevent abuse, troubleshoot, and enforce these Terms. We may remove content, restrict features, or suspend/terminate accounts at our discretion, including immediately for serious violations.
13. Intellectual Property
Beni AI, Beni Studio, and all related software, branding, preset characters, and content are owned by Bagel Labs Corp or its licensors. You receive a limited, revocable license to use the service as allowed by these Terms.
14. Disclaimer of Warranties
To the fullest extent permitted by law, the service is provided “as is” and “as available.” We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim will not exceed the lesser of (a) the amount you paid to us in the 12 months before the event giving rise to the claim, or (b) USD $100.
16. Indemnification
You agree to indemnify and hold harmless Bagel Labs Corp from claims arising out of your use of the service, your User Content (including any image you upload and any character generated from it), your violation of these Terms, or your violation of any third party’s rights, including intellectual property, publicity, or privacy rights.
17. Dispute Resolution, Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. A) Governing Law — These Terms are governed by the laws of the State of Delaware, excluding conflict of law rules. B) Informal Resolution — Before arbitration, you agree to contact us at hello@thebeni.ai with a description of the dispute and your requested resolution. C) Binding Arbitration — If not resolved informally, disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under the AAA Consumer Arbitration Rules. D) Small Claims Exception — Either party may bring an individual claim in small claims court if it qualifies. E) Class Action Waiver — Disputes must be brought on an individual basis. No class actions, class arbitrations, or representative proceedings. F) Opt-Out (30 Days) — You may opt out of arbitration by emailing hello@thebeni.ai within 30 days of first accepting these Terms. If you opt out, disputes may be brought in court. The class action waiver still applies to the extent permitted by law. G) Jurisdictional Limits — Some jurisdictions do not allow certain provisions. Where prohibited, provisions will be modified to the minimum extent necessary to comply with applicable law.
18. Changes to These Terms
We may update these Terms from time to time. We may provide notice of material changes. Updated Terms apply as of the Effective Date above.
